Pondering the Proposed Purchase of Parlay

Has Parlay Entertainment been bought? Not yet. But if the acquisition does proceed, no changes in management, operations or head-office location are being considered. It will be business as usual here at Parlay. I mean, why change a good thing?

We can assure our customers and the thousands of players who love our bingo software that we are (and will remain) focused on continuously developing the best online bingo software on the market.

Right now, we're busy putting the final touches on Parlay 5: Bingo Without Borders™. Our ‘next generation' bingo software includes internationalisation features that make it easier for bingo operators to add new languages and currencies. With Parlay 5, it will even be possible to aggregate players from all over the world into a central game, regardless of currency or language.

Here are a few important points about the proposed purchase:

  • It's important to remember that at this stage it is just a non-binding letter of intent. We are currently in the midst of a due diligence process and more details will be available if and when we enter into a definitive agreement.
  • The closing date has yet to be determined.
  • The tender offer is a cash offer of $0.95 (CAD) for each share, with some shareholders becoming shareholders of the purchaser.
  • The purchaser is a company established to make acquisitions, with this acquisition being the first one.
  • The purchaser's board of director composition has not been determined.
  • Mark Blandford is the spokesperson for the purchaser.
  • Should we successfully complete due diligence and enter into definitive agreements, we will call a special shareholder meeting.
  • Again, our executive team including Parlay's founders Perry Malone and Scott White will not change.
